Terms of Service

These Terms of Service (the “Terms”) govern access to and use of the CenterWide childcare management platform, including our websites, web and mobile applications, parent portal, staff and administrator tools, and related services (collectively, the “Service”), provided by CenterWide (“CenterWide,” “we,” “us,” or “our”). By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to create an account. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us promptly at support@centerwide.com if you suspect unauthorized use. The Service is not directed to children, and children do not create their own accounts; information about children is entered by Centers and by parents or guardians.
2. The Service and roles
CenterWide provides tools for enrollment and registration, attendance and check-in/out, classroom and staff management, billing and tuition, messaging, documents, reporting, and a parent portal. Access depends on the role assigned to you:
- Administrators configure the Center, manage staff and permissions, and control billing settings.
- Staff access features permitted by their assigned role.
- Parents/guardians and authorized contacts view and manage information the Center makes available to them, such as their children’s records, attendance, documents, and payments.
Each Center controls the roles, permissions, and data within its own workspace. We are not responsible for how a Center configures access or uses the information in its account.
3. Customer data and children’s information
“Customer Data” means all data submitted to the Service by or on behalf of a Customer or its users, including information about children (such as names, dates of birth, photos, allergies, medical and dietary notes, immunization records, attendance, and authorized pickup lists), parent and guardian contact details, and staff records.
As between the parties, the Customer owns and is responsible for its Customer Data. With respect to Customer Data, CenterWide acts as a service provider/processor and processes Customer Data only to provide and support the Service, as directed by the Customer, and as described in our Privacy Policy. Our collection and use of personal information is further described there.
4. Customer and user responsibilities
You are responsible for the accuracy, quality, and legality of Customer Data and the means by which you acquired it. You represent and warrant that you have all rights, consents, and authority necessary to collect the information you enter and to have CenterWide process it, including, where applicable:
- obtaining any parental or guardian consent required to collect and share children’s information, photos, and health data;
- complying with applicable childcare licensing, health, safety, recordkeeping, and reporting requirements;
- complying with laws that may apply to your operations, such as the Children’s Online Privacy Protection Act (COPPA), the Family Educational Rights and Privacy Act (FERPA) where applicable, the Health Insurance Portability and Accountability Act (HIPAA) where applicable, and state privacy and data-security laws.
You are responsible for maintaining your own records as required by law and for verifying pickups, medical information, and other safety-critical details through your own procedures. The Service supports, but does not replace, your professional judgment and legal obligations.
5. Acceptable use
You agree not to: (a) use the Service in violation of any law or the rights of others; (b) upload malicious code or attempt to gain unauthorized access to the Service or other accounts; (c) interfere with or disrupt the integrity or performance of the Service; (d) reverse engineer or copy the Service except as permitted by law; (e) use the Service to send unlawful, harassing, or deceptive communications; or (f) access the Service to build a competing product. We may investigate and take appropriate action, including removing content or suspending accounts, for violations.
6. Fees, billing, and payment processing
Subscription fees, billing frequency, and any applicable transaction or processing fees are set out in your order or plan selection. Unless stated otherwise, fees are non-refundable and are exclusive of taxes, which you are responsible for. We may change fees on renewal or with prior notice.
Payment processing for tuition, invoices, and other charges collected through the Service is provided by third-party processors (including Stripe). Card and bank-account details are handled by the processor under its own terms and security controls; CenterWide does not store full payment card numbers. You are responsible for the accuracy of payment information and for authorizing charges, including any recurring or autodraft payments you enable.
7. Third-party services
The Service integrates with third-party providers (for example, payment processing, email delivery, address lookup, and hosting). Your use of those integrations may be subject to the third party’s terms, and we are not responsible for third-party services. If a third-party service becomes unavailable, we may replace it or discontinue the related feature.
8. Intellectual property
CenterWide and its licensors own all right, title, and interest in the Service, including its software, design, and trademarks. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription. You retain all rights in your Customer Data. You grant us a limited license to host, process, transmit, and display Customer Data as needed to provide the Service and as otherwise permitted in these Terms and the Privacy Policy. If you send us feedback or suggestions, we may use them without obligation to you.
9. Confidentiality
Each party may access confidential information of the other. Each party will protect the other’s confidential information with reasonable care and use it only to perform under these Terms. This does not apply to information that is public through no fault of the receiving party, independently developed, or rightfully obtained from a third party. We may disclose confidential information if required by law, subject to reasonable notice where permitted.
10. Not for emergencies; no professional advice
The Service is not an emergency notification, medical, or life-safety system. Do not rely on it to contact emergency services or to deliver time-critical medical or safety alerts. In an emergency, call your local emergency number. Content in the Service does not constitute legal, medical, tax, or accounting advice.
11. Availability, support, and changes
We work to keep the Service available but do not guarantee uninterrupted or error-free operation. We may perform maintenance, update features, or modify or discontinue parts of the Service. We provide support through the channels described in the Service or at support@centerwide.com.
12. Term, suspension, and termination
These Terms apply for as long as you use the Service. You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay fees, or if required by law or to protect the Service or others. Upon termination, your right to use the Service ends. For a limited period after termination, and upon request, we will make Customer Data available for export; after that period we may delete Customer Data in the ordinary course, subject to legal retention requirements and our backup cycles. Provisions that by their nature should survive (including data ownership, confidentiality, disclaimers, limitations of liability, and indemnification) will survive termination.
13. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT DATA WILL ALWAYS BE ACCURATE OR AVAILABLE.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE. EXCEPT FOR AMOUNTS OWED FOR THE SERVICE OR A PARTY’S INDEMNIFICATION OBLIGATIONS, EACH PARTY’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
15. Indemnification
You will defend and indemnify CenterWide against third-party claims arising from your Customer Data, your use of the Service in violation of these Terms or law, or your failure to obtain required consents (including consents relating to children’s information). We will defend and indemnify you against third-party claims that the Service, as provided by us and used in accordance with these Terms, infringes that third party’s intellectual property rights.
16. Governing law and disputes
These Terms are governed by the laws of the State of [State], without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in [County/State] for any dispute not subject to binding arbitration or a small-claims proceeding. If any provision is found unenforceable, the remaining provisions remain in effect.
17. Changes and general terms
We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email and update the effective date above. Continued use after changes take effect constitutes acceptance. These Terms, together with any order and our Privacy Policy, are the entire agreement between you and CenterWide regarding the Service. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Our failure to enforce a provision is not a waiver.
